Terms of Service
ReplatedWi ("we", "us", or "our") operates a platform that connects restaurants, food donors, volunteers, and community organizations to reduce food waste and support food security. These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility and Accounts
- You must be at least 18 years old to create an account or access the Services on behalf of an entity.
- When registering, you agree to provide accurate, complete information and keep it updated. You are responsible for safeguarding your password and for all activity that occurs under your account.
- Organizations (such as restaurants, nonprofits, or volunteer groups) must ensure that any individual creating or managing an account on their behalf is authorized to do so.
2. Use of the Services
- Use the Services only for lawful purposes consistent with local health, safety, and food handling laws.
- You may not misuse the Services, interfere with their operation, attempt unauthorized access, or engage in fraudulent activity.
- We may suspend or terminate access to the Services if you violate these Terms or engage in conduct that harms other users, partners, or ReplatedWi.
3. Donations and Volunteer Activities
- Donors and partners are responsible for ensuring donated items meet applicable food safety standards, packaging requirements, and labeling obligations.
- Volunteers and recipients agree to follow pickup/drop-off instructions and comply with all safety guidelines communicated through the Services.
- ReplatedWi acts as a facilitator and does not take possession of donated goods. We are not responsible for the quality, safety, or suitability of donated items provided by third parties.
4. Financial Contributions
- Monetary donations are processed by trusted third-party payment providers. Transaction receipts are issued electronically.
- All donations are final unless otherwise required by law. For donation questions, contact donations@replatedwi.org.
5. Intellectual Property
- The Services, including logos, trademarks, text, graphics, and software, are owned by ReplatedWi or our licensors and protected by intellectual property laws.
- You may not copy, modify, distribute, or create derivative works from the Services without prior written consent.
6. User Content
- You retain ownership of content you submit (e.g., messages, listings, photos) but grant ReplatedWi a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, and display that content for the purpose of operating and promoting the Services.
- You represent that you have the rights necessary to share any content you submit and that it does not infringe on third-party rights or contain unlawful material.
7. Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and safeguard personal information. By using the Services, you consent to the practices described there.
8. Disclaimers and Limitation of Liability
- The Services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- ReplatedWi is not liable for any indirect, incidental, consequential, or punitive damages, or for loss of profits, revenues, or data arising from your use of the Services.
- To the extent permitted by law, our total liability for any claim related to the Services is limited to the amount you paid, if any, to use the Services in the 12 months preceding the event giving rise to the claim.
9. Indemnification
You agree to indemnify and hold harmless ReplatedWi, its directors, employees, partners, and volunteers from any claims, losses, liabilities, and expenses (including legal fees) arising out of your use of the Services, violation of these Terms, or infringement of another party's rights.
10. Changes to the Services and Terms
We may modify or discontinue parts of the Services at any time. We may also update these Terms to reflect operational or legal requirements. When we make material changes, we will provide notice through the Services or by email. Continued use of the Services after updates become effective constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Milwaukee County, Wisconsin, unless applicable law requires a different venue.
